PREAMBLE |
We, the members of Seoul Baptist Church of Houston, declare and establish this Constitution for the preservation and security of the principles of our faith, and so that this body may be governed in an orderly manner.The Constitution will preserve the liberties of each individual member of this church and the freedom of action of this body in its relation to other churches of the same faith. |

I. STATEMENT OF FAITH |
The Holy Bible is the inspired Word of God and is the basis for any statement of faith. The church subscribes to the doctrinal statement of "the Baptist Faith and Message" as adopted by the Southern Baptist Convention in 1963. We band ourselves together as a body of baptized believers in Jesus Christ personally committed to sharing the good news of salvation to lost mankind. The ordinances of the church are baptism and the Lord's Supper. |

II. CHURCH COVENANT |
Having been led, as we believe by the Spirit of God, to receive the Lord Jesus Christ as our Saviour and, on the profession of our faith, having been baptized in the name of the Father, and of the Son, and of the Holy Spirit, we do now, in the presence of God, and this assembly, most solemnly and joyfully enter into covenant with one another as one body in Christ.
We engage, therefore, by the aid of the Holy Spirit to walk together in Christian love; to strive for the advancement of this church, in knowledge, and comfort; to promote its prosperity and spirituality; to sustain its worship, ordinances, discipline, and doctrines; to contribute cheerfully and regularly to the support of the ministry, the expenses of the church, the relief of the poor, and the spread of the Gospel through all nations.
We also engage to maintain family and secret devotions; to religiously educate our children; to seek the salvation of our kindred and acquaintances; to walk circumspectfully in the world; to be just in our dealings, faithful in our engagements, and exemplary in our departments; to avoid all tattling, backbiting, and excessive anger; to abstain from the sale of, and use of, intoxicating drinks as beverage; to be zealous in our efforts to advance the kingdom of our Saviour.
We further engage to watch over one another in brotherly love; to remember one another in prayer; to aid one another in sickness and distress; to cultivate Christian sympathy in feeling and Christian courtesy in speech; to be slow to take offense, but always ready for reconciliation and mindful of the rules of our Saviour to secure it without delay.
We moreover engage that when we remove from this place we will, as soon as possible, unite with some other church where we can carry out the spirit of this covenant and the principles of God's Word.

Article 1. Name |
This New Testament Church if duly incorporated under the laws of the State of Texas under the corporate name of Seoul Baptist Church of Houston.

|
|
|
Article 2. Purpose |
Its purpose shall be to preach and teach the Gospel of our Lord and Saviour, Jesus Christ; to conduct worship services; to administer the ordinances of the New Testament; to improve the spiritual life of its members through religious education; to develop Christian Stewards of time, talent and material possessions and to advance the cause of missions at home and abroad. |

Article 3. Membership |
The church shall consist of several house churches patterned after New Testament churches, headed by lay leaders. The church has two congregations under it - a Korean speaking congregation and an English speaking congregation. The membership of this church shall consist of believers in the Lord Jesus Christ who have been baptized by immersion, who have acknowledged agreement with the faith, practice, and covenant of this church, and have been received into fellowship by regular action of the church. |

Article 4. Officers |
The officers of this church are pastor, church staff, and deacons, and house church group leaders herein referred to as shepherds. The church shall be represented by the pastor of whichever congregation whose Sunday worship attendance and financial offering are greater for two consecutive years. |

|
Article 5. Meetings |
Meetings for worship, prayer, praise, fellowship, business, and special purposes shall be held as set forth in the By-laws. |

|
|
Article 6. Amendment |
This Constitution and By-laws may be amended by a two-thirds vote of members present at any regular business meeting. After such amendments have been approved by the council of deacons, they must be submitted to all church members in written form for at least two weeks before being voted on. |

|
Article 1. Membership |
Section 1. admission to membership
a. Any person publicly professing faith in the Lord Jesus Christ as his personal Saviour and declaring it as his purpose to follow Him as His disciple, may be received into full fellowship of this church, subject to baptism by immersion in the name of God the Father, the Son and Holy Spirit.
b. Members in good standing of a New Testament church of like faith and order, may be received into full membership of this church upon receipt of a letter of transfer from the former church.
c. Admission into membership must be recommended by the shepherd of the house church the applicant belongs to and approved by the congregation.
d. A member from whom fellowship has been withdrawn may be restored to membership, upon presentation of evidence satisfactory to this church. |

Article 2. House Church |
Section 1. Definition or Purpose
House church groups are defined as weekly meeting of laymen at a member's house, whose purpose is to share the good news of salvation to lost mankind and service to each other.
Section 2. Officer and duties
1) The house church group is called a "Mokjang", which is composed of house church group members. Every House Church group has shepherd, deputy shepherd, shepherd intern, and teacher responsible for delegated ministries.
2) The shepherd shall faithfully discharge his/her responsibility as a leader of laymen in the house church group. The Pastor shall appoint a shepherd upon his/her completion of prescribed Bible study and approval by the council of deacons.
3) If the prescribed Bible study to become a shepherd is not completed, the house church group leader and house church members may recommend and elect a Deputy Shepherd.
Section 3. Termination of Membership
Membership shall be terminated in the following ways :
1) death,
2) dismission to another Baptist Church,
3) exclusion by action of this church,
4) erasure upon becoming affiliated with a church of another faith or denomination. Should a member become an offense to the church and to its good name by reason of immoral or unchristian conduct, or by persistent breach of his covenant vows, or nonsupport of the church, the church may terminate his membership by a three-fourths vote, but only after due notice and hearing, and after faithful efforts have been made to bring such member to repentance and reformation.
Section 4. Disciplining
1) It should be the basic purpose of Seoul Baptist Church of Houston to emphasize to its members that every reasonable measure will be taken to assist any troubled member. Any member having cause to complaint against another must seek to follow the principle as directed in Matthew 18:15-17. If this is not sufficient, the problem shall be brought to the attention and counsel of the pastor and deacons, who, if they find it necessary, shall report their findings and recommend to the church any action that seems wise and proper. Redemption rather than punishment should be the guideline that governs the attitude of one member towards another.
2) any person whose membership has been terminated for any condition that has made it necessary for the church to exclude him may, upon his request, be restored to membership by a three-fourths vote of the church members present upon evidence of his repentance and reformation.

Article 3. Officers |
Section 1. Pastor
1) The pastor is responsible for leading the church in functioning as a New Testament church. The Pastor will lead the congregation, the organizations, and the church staff in performing their tasks. A major concern of the pastor is to perform pastoral responsibilities. The pastor is the leader of worship, proclamation, education, and pastoral ministry. The Pastor shall preside at all church related activities.
2) Whenever a pastor vacancy occurs the church must have a church-wide meeting to choose a pastor. His election shall take place at a meeting called for that purpose with at least one week's written notice.
3) A pulpit committee shall be appointed by the church to seek out a suitable pastor, and their recommendations will constitute a nomination, though any member has the privilege of making other nominations according to the policy established by the church. The committee shall bring to the consideration of the church only one man at a time. Election shall be by ballot, an affirmative vote of two-thirds of those present being necessary for approval.
4) The pastor, thus elected, shall serve six(6) years. The seventh(7th) year shall be a sabbatical year. At pastor's option, he may take less than a full year sabbatical. One month prior to the sabbatical year, the church shall take a confidence vote regarding the service of pastor. Confidence in the pastor shall be by an affirmative vote of two-thirds of those present. The pastor on a positive confidence vote shall take one sabbatical year and shall serve another six years. This procedure shall be repeated every seventh year.
5) The pastor may redelegate such responsibilities as he may deem expedient to staff members associated with the pastor in an administrative capacity.
i) The staff members shall consist of the Assistant Pastor, the minister of Education, the Minister of Music, the Youth Director, Children's Director, and such others as may be authorized by the Church.
ii) The Assistant Pastor and the Minister of Education and Minister of Music shall be elected by a majority of church members voting in a business meeting, upon recommendation of the Pastor and the Deacons. Other members of the Administrative staff shall be selected by the Pastor. The Pastor shall be responsible for filling vacancies on a temporary basis until a permanent replacement has been made.
iii) General Staff Members shall consist of the secretaries, organist, co-ordinators, custodial personnel, nursery workers and such others as may be required to perform the functions of the church. These staff members shall be selected by the Pastor, or by other staff members to whom he may delegate this responsibility.
6) The pastor shall retire at the age of 67.
Section 2. The Deacons
1) Duties - In accordance with the meaning of the word "deacon" and in the practice of the New Testament, deacons are to be the servants of the church and helpers of the pastor.
2) The Council of Deacons shall be composed of only those deacons who are duly elected by written ballot of two -thirds of those present at a regular business meeting. Deacons shall serve for four(4) years. Upon completion of his/her initial term, a deacon shall be eligible for re-election only after the lapse of at least one year.
3) Qualifications - Deacons shall be elected from those serving as shepherds. Deacons shall faithfully discharge their responsibilities as servants of the church, and shall meet the qualifications as set forth in Acts 6:1-7 and I Tim. 3:8-13, remembering always the great responsibility of promoting harmony in the church. They shall assist the Pastor in the administration of the ordinances and in the overall program of the church.
4) Officers - The elected officers of the Council of Deacons shall consist of chairman, and vice chairman, with the vice- chairman also serving as secretary. No man shall retain the same office in the Council of Deacons for more than two consecutive years. He may return to a former office after the intervention of one year.
5) Regular meetings of the Council of Deacons shall be held once a week.
6) Retirement - Deacons shall serve until age 67. Retired Deacons may serve as a shepherd or department head in the church.
Section 3. Moderator
The moderator shall be the pastor. In the absence of the pastor, the Chairman of Deacons shall preside; in the absence of both, the clerk shall call the church to order and an acting moderator shall be elected. Section 4. Secretary
The Secretary of the Council of Deacons shall also serve as Church Secretary. The church secretary, elected annually, shall keep in a suitable book a record of all the actions of the church, except as otherwise herein provided. He is responsible for keeping a register of the names of members, with dates of admissions, dismissals, and deaths, together with a record of baptisms. He shall issue letters of dismissal, voted by the church, preserve on file all communications and written official reports, and give legal notice of all meetings where such notice is necessary, as indicated in these by-laws. The church may delegate some of the clerical responsibilities to a church secretary. All such church records are church property and should be filed in the church office.
Section 5. Treasurer
The church shall elect annually a church treasurer and assistant treasurers.
It shall be the duty of the treasurer to receive and preserve all money or things of value paid or given to the church. All disbursements shall be by check signed by the treasurer and another authorized signatory and shall be made only upon receipt of properly approved bills or invoices authorized by the church budget or special action of the church. It shall be the duty of the treasurer to keep at all times an itemized account of all receipts and disbursements and render to the church at monthly church council meetings a report of the receipts and disbursements for the preceding month. The treasurer's report shall be audited annually by an audit committee or public accountant.
Upon rendering the annual account at the end of each fiscal year, and its acceptance and approval by the church, the records shall be kept and preserved as part of the permanent records of the church. The treasurer shall be the custodian of all contracts, documents, legal papers, etc., relating to the church.
Section 6. Trustees
Trustees shall consist of the chairperson of property management committee, church secretary, and church treasurer. If a person is serving in dual capacity, then a third trustee shall be elected from among the deacons. Church property should be held in trust by the three(3) church trustees.

Article 4. Committees |
Section 1.
General All church committee chairs shall be selected by a nominating committee and elected at a regular business meeting unless otherwise indicated below. All the committee chairs shall serve in his/her post for a maximum of three consecutive year.
Section 2.
Church Council The Church Council membership shall be composed of the Pastor, Minister of Education, Deacons, church staff, committee chairpersons, including office of missions chairperson. Church staff or of office managers in the church council shall be elected by the preceding council of deacon.
Section 3.
Office of Missions The Office of Missions is responsible for domestic and foreign missions, projects of SBC, information gathering, missions, training, missions fund management and the planning of mission projects.
Section 4.
Committees The church may appoint committees or committee members to carry out church business. Committees may have teams to carry out its duties and responsibilities. Organizing new committees or eliminating existing committees shall be decided before the fiscal year-end by the council of deacons. |

Article 5. Church Ordinances |
The ordinances of a New Testament church are two : Baptism and Lord's Supper.
The ordinance of Baptism shall be by immersion of the professed believer in water in obedience to the command of Christ and shall be administered by authority of and in the presence of the church. Only the pastor shall administer the ordinance, except that by special action of the church an ordained minister of the Gospel of like faith and order may be authorized to do so.
Section 2. The Lord's Supper
The ordinance of the Lord's Supper shall be observed at a worship service with such frequency as the church shall determine. The pastor shall preside at the table and shall be assisted by the deacons. When the church shall be without a pastor, it shall elect some other ordained minister to preside.

Article 6. Church Meeting |
Section 1. Worship Services
The church shall meet regularly each Sunday for public worship. The church shall also meet each Wednesday evening and Saturday morning for prayer meetings. The house church groups shall also meet once a week.
Section 2. Special Service
Special services which are essential in the promotion of the objectives of the church, may be called by the pastor or congregation at any time.
Section 3. Regular business Meeting
Regular business meetings shall be held twice a year - on the 1st Wednesday evening of the calendar year and at the end of budget year.
Section 4. Special Business Meetings
A specially called business meeting may be held to consider matters of significant nature. Announcements of such meetings shall be made at both services on Sunday and/ or written notice published in the church paper before such meetings a week in advance, unless extreme urgency renders such notice impracticable.
Section 5. Determining Vote
A simple majority vote shall determine all motions unless specifically designated otherwise in the bylaws. Only registered members shall have voting rights. Each member shall have one vote and must be present to vote.
Section 6. Quorum
A quorum consists of those who attend the business meeting, provided it is a stated meeting or one that has been properly called.
Section 7. Parliamentary Rules
Robert's Rules of Order Revised is adopted as the authority for parliamentary rules of procedure for all business meetings of the church, the deacons, and the committees.
Section 8. Fiscal Year
The fiscal year of the church shall run concurrently with the church year beginning on September 1 and ending on August 31. |

Article 7. Fiscal Policy |
The financial needs of the church and its organizations and causes fostered by it shall be supported by voluntary gifts which shall be received and disbursed as directed by the church.
No debt, commitment or other obligation shall be created except by authority of the church.
All property, both real and personal, all monies, equities and the like shall be held and controlled by the church. Designated gifts, accepted by the church, shall be either used in accordance with the donor's wishes, or returned to the donor. Regarding designated bequests, every reasonable effort will be made to comply with the testator's wishes, although such bequests will become the sole property of the church to be used as directed by the church.
We believe the Scriptural mode of church finance to be not less than the tithe.
For the sake of efficiency, the church shall operate on a budget determined, adopted, and subscribed by the church to extend from January1 through December 31 of each year. Extraordinary disbursements and proposals for raising special funds must be authorized by the church. |

Article 8. Licensing and Ordaining |
Section 1. Licensing Ministers
Any member who, in the judgement of the church, gives evidence by his piety, zeal and abilities that he is called of God to the work of the ministry, after having preached in the hearing of the church, may be licensed to preach the Gospel of Jesus Christ, provided three-fourths of the members present at a business meeting agree.
Section 2. Ordination-Ministers
When our church, or a church of like faith and order shall request in writing the ordination of a licensed preacher known to the church to be qualified for ordination to the ministry, the church shall consider such request. The church shall undertake such ordination after an affirmative vote of three- fourths of those members present.
Section 3. Ordination-Deacons
If the church at conference elects a member or members to the office of deacon, it shall authorize and direct the pastor to assemble an Ordaining Council which shall perform the ceremony of ordaining him or them to the office of deacon in the name of, and in the presence of, the church. |
